These Special Terms for PandektesByg (“PandektesByg Terms”) apply to Licensees who have entered into an agreement for the use of PandektesByg.

In the event of any inconsistency between these PandektesByg Terms and Pandektes ApS’ general Terms of Service, the PandektesByg Terms shall prevail to the extent the inconsistency relates to PandektesByg.

In all other respects, the Terms of Service apply.

1. Product Definition and Scope of Service

1.1 The Product

PandektesByg is a specific Product within the meaning of the Terms of Service, granting the Licensee access to a database consisting exclusively of arbitration awards issued by the Danish Building and Construction Arbitration Board (Voldgiftsnævnet for bygge- og anlægsvirksomhed).

1.2 Primary Service

The license includes:

• access to the above-mentioned database, and

• access to Pandektes’ AI-powered search, analysis, and summarization tools applied solely to these arbitration awards.

This constitutes the entire paid service under the Agreement.

2. Temporary Extended Access to Other Legal Areas

2.1 Extended Access (Free of Charge)

Pandektes may, for a limited period, offer functionality allowing Users to ask questions and search legal topics outside the scope of the Arbitration Board’s awards (“Extended Access”).

2.2 Not Part of the Product

The Extended Access:

• does not form part of PandektesByg as a Product,

• is not included in the Licensing Fee, and

• is provided solely as a temporary, free-of-charge service.

2.3 Modification and Termination

Pandektes reserves the right, at its sole discretion and without notice, to modify, restrict, or discontinue the Extended Access.

2.4 No Financial Claims

Any limitation or discontinuation of the Extended Access does not entitle the Licensee to any:

• price reduction,

• refund, or

• termination of the Agreement.

3. Price and Payment

3.1 Licensing Fee

The agreed Licensing Fee covers only:

• access to the arbitration awards database, and

• AI functionality applied to such arbitration awards.

3.2 Exclusion of Other Services

Any access to general legal AI assistance or other legal domains is deemed part of the Extended Access and is not included in the pricing of PandektesByg.

4. Use of AI and Limitation of Liability

4.1 Legal Support Tool

PandektesByg is a legal research and support tool and does not constitute legal advice.

4.2 Extended Access Disclaimer

When using the Extended Access, the Licensee and Users acknowledge that:

• AI-generated responses may be incomplete or inaccurate (“hallucinations”), and

• all outputs must be independently verified against applicable legal sources.

5. Intellectual Property Rights and Prohibition of Data Extraction

5.1 Ownership

All rights to the database, including its structure, metadata, indexing, and organization of arbitration awards, remain the exclusive property of Pandektes.

5.2 License

The Licensee is granted a non-exclusive, non-transferable, and time-limited right of use of the Product.

5.3 Prohibited Use

It is strictly prohibited to:

a) Systematic Downloading
Carry out systematic or automated downloading, scraping, crawling, or similar extraction of arbitration awards or data from the platform.

b) Shadow Databases and AI Training
Use any content from the Product to create, enrich, or train:

• databases,

• search engines,

• large language models (LLMs), or

• retrieval-augmented generation (RAG) systems,
  whether internal or external.

c) Commercial Redistribution
Sell, lease, sublicense, or otherwise make the arbitration awards available to third parties as a standalone collection or service.

5.4 Permitted Use

The Licensee may manually download individual arbitration awards solely as part of:

• concrete case handling, or

• legal advice for a specific client.

Any use resembling general archiving, library building, or systematic knowledge accumulation outside specific cases shall constitute a material breach of the Agreement.

6. Breach and Contractual Penalty

6.1 Contractual Penalty

In the event of a breach of Section 5, Pandektes is entitled to a contractual penalty (liquidated damages) of DKK 20,000 per breach, irrespective of the general limitation of liability set out in the Terms of Service.

6.2 Additional Remedies

Pandektes reserves the right to:

• claim additional damages under applicable Danish law, and

• terminate the Agreement with immediate effect in accordance with the Terms of Service.

7. Governing Law and Interpretation

These PandektesByg Terms shall:

• apply exclusively to PandektesByg,

• be interpreted in accordance with Danish law, and

• prevail over the Terms of Service in accordance with Section 1 above.
